Terms of Service

1. Agreement
These Terms of Service (the “Terms”) are an agreement between you and Loqu Inc. (“Loqu”, “we”, “us”), the operator of Guuey — the agent-hosting platform available at guuey.com and its subdomains (the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
Guuey lets builders deploy and run AI agents on managed, isolated infrastructure. This includes: scaffolding and deployment tooling (such as the Guuey CLI), hosted agent endpoints, hosted MCP servers, managed access to third-party large-language-model providers with metered usage, per-agent environment variables and secrets, conversation history, and a web console for managing apps, deployments, and billing.
The Service is under active development. Features may change, be added, or be removed. Where a capability is documented, the product documentation describes its current behavior.
3. Your account
You need an account to use the Service. You are responsible for safeguarding your credentials, API keys, and deploy tokens, and for all activity under your account. Notify us promptly at hello@guuey.com if you believe your account has been compromised.
4. Acceptable use
You agree not to use the Service to:
- break the law, or build or operate agents that do so;
- attempt to escape, probe, or interfere with the isolation boundaries of the hosting infrastructure, or access other customers' workloads or data;
- circumvent usage metering, rate limits, or billing;
- distribute malware, conduct phishing, or generate spam or abusive traffic;
- infringe the intellectual-property, privacy, or other rights of others.
We may suspend or throttle workloads that endanger the platform, other customers, or third parties.
5. Your content
You retain ownership of the content you bring to the Service — agent definitions and configuration, system prompts, code, environment variables and secrets, and the conversation data your agents produce (collectively, “Customer Content”). You grant us the rights needed to host, store, transmit, and process Customer Content solely to provide and operate the Service. We do not use Customer Content to train machine-learning models.
6. Agents, outputs, and your end users
You are responsible for the agents you deploy: their system prompts, the tools and MCP servers you connect, the outputs they generate, and your own terms with any end users of your agents. Outputs are produced by third-party large-language models and may be inaccurate; you should not rely on them without appropriate review for your use case.
7. Third-party services
The Service depends on third-party providers, including cloud infrastructure (Amazon Web Services), model providers whose LLM calls we proxy on your behalf (such as Anthropic, OpenAI, and Google), and Stripe for payment processing. Your use of the Service is also subject to any usage policies those providers impose on traffic we send them. If you connect your agent to external MCP servers or other third-party services, your relationship with those services is your own.
8. Fees and billing
Paid features are billed through Stripe. Usage-based charges — such as metered LLM usage through managed provider keys — accrue as described in the pricing shown in the console and product documentation at the time of use. Your card details are handled by Stripe and never touch Guuey systems. Except where required by law, fees are non-refundable.
9. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for material breach of these Terms, for non-payment, or where necessary to protect the platform or comply with law. On account deletion we delete Customer Content as described in the Privacy Policy.
10. Intellectual property
We retain all rights in the Service, including the platform, console, CLI, and documentation. Open-source components we publish are licensed under their respective open-source licenses, which govern in place of this section for those components.
11. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
12. Limitation of liability
To the maximum extent permitted by law, Loqu will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our aggregate liability arising out of the Service is limited to the amounts you paid us for the Service in the twelve months before the claim arose.
13. Changes to these Terms
We may update these Terms as the Service evolves. If a change is material we will give notice — for example by email or in the console — before it takes effect. Continued use of the Service after a change takes effect constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the jurisdiction in which Loqu Inc. is established, without regard to conflict-of-laws rules.
